Welcome to CORE Medical Solutions (“CORE,” “Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, software platforms, communications tools, and related products within our product suite (collectively, the “Services”).

By accessing or using our website or Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility and Authorized Use

The Services are intended solely for:

  • Healthcare providers
  • Medical practices
  • Healthcare administrators
  • Authorized business representatives
  • Healthcare organizations and vendors acting on behalf of a medical practice


You represent that:

  • You are authorized to enter into agreements on behalf of your organization;
  • All information provided to CORE is accurate and complete; and
  • Your use of the Services complies with all applicable laws and regulations.

 

2. Description of Services

CORE Medical Solutions provides healthcare-focused marketing, patient engagement, patient acquisition, retention, communication, analytics, and related technology services designed to support the patient lifecycle.

Our Services may include:

  • Geofencing and behavioral intent targeting
  • Digital advertising
  • Appointment conversion workflows
  • Recall and patient re-engagement systems
  • Patient loyalty and retention programs
  • Messaging and communication tools
  • Analytics and reporting
  • Website and digital experience optimization


CORE reserves the right to modify, suspend, or discontinue any Service at any time without liability.

3. No Medical Advice

The Services are administrative, marketing, operational, and communication tools only.

CORE Medical Solutions:

  • Does not provide medical advice;
  • Does not diagnose or treat medical conditions; and
  • Is not a healthcare provider.


Any healthcare, treatment, or clinical decisions remain solely the responsibility of the applicable medical practice or licensed healthcare professional.If you are experiencing a medical emergency, call 911 or contact a qualified healthcare provider immediately.

4. HIPAA and Protected Health Information

CORE understands the importance of patient privacy and healthcare compliance.

To the extent CORE receives or processes Protected Health Information (“PHI”) on behalf of a Covered Entity under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), the parties may enter into a separate Business Associate Agreement (“BAA”).

Users are responsible for:

  • Ensuring lawful collection and disclosure of patient information;
  • Obtaining required patient consents;
  • Configuring communications in compliance with HIPAA, TCPA, CAN-SPAM, and applicable privacy laws; and
  • Maintaining appropriate administrative, technical, and physical safeguards.


Unless expressly agreed in writing, CORE does not guarantee that all Services are HIPAA-compliant for every use case or workflow configuration.

5. Communications Consent

By submitting information through the website or using the Services, you consent to receive communications from CORE Medical Solutions, including:

  • Emails
  • Phone calls
  • SMS/text messages
  • Product updates
  • Marketing communications
  • Appointment or workflow notifications


You may opt out of marketing communications at any time by following unsubscribe instructions or contacting us directly.

Users utilizing messaging functionality through the Services are solely responsible for ensuring compliance with:

  • TCPA
  • HIPAA
  • State privacy laws
  • Carrier regulations
  • Consent requirements for patient outreach

 

6. Intellectual Property

All content, branding, technology, software, designs, graphics, text, interfaces, workflows, trademarks, logos, service marks, and product names are the exclusive property of CORE Medical Solutions or its licensors.You may not:

  • Copy,
  • Modify,
  • Reverse engineer,
  • Republish,
  • Distribute,
  • Sell, or
  • Exploit

 

any portion of the Services without prior written consent.

7. User ConductYou agree not to:

  • Use the Services for unlawful purposes;
  • Upload malicious code or harmful content;
  • Attempt unauthorized access to systems or data;
  • Interfere with platform functionality;
  • Misrepresent your affiliation or identity; or
  • Use the Services in violation of healthcare or privacy regulations.


CORE reserves the right to suspend or terminate access for violations of these Terms.

8. Data and Analytics

CORE may collect and analyze operational, usage, and performance data related to the Services.

Subject to applicable law and HIPAA obligations, CORE may use aggregated and de-identified data to:

  • Improve Services,
  • Develop analytics,
  • Conduct benchmarking,
  • Enhance platform performance, and
  • Support internal business operations.


No de-identified data will intentionally identify individual patients.

9. Third-Party Platforms and Integrations

The Services may integrate with or rely upon third-party platforms, including:

  • Electronic Health Record (EHR) systems
  • Scheduling systems
  • Advertising networks
  • SMS providers
  • Analytics platforms
  • CRM systems

 

CORE is not responsible for:

  • Third-party outages,
  • Platform errors,
  • Data delays,
  • API limitations, or
  • Policies of external providers.


Use of third-party services may also be governed by their own terms and privacy policies.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • NON-INFRINGEMENT,
  • AVAILABILITY,
  • ACCURACY, AND
  • SECURITY.


CORE does not guarantee:

  • Patient acquisition results,
  • Revenue increases,
  • Appointment volume,
  • Marketing performance,
  • Search rankings, or
  • Patient retention outcomes.


Results may vary based on market conditions, competition, operational execution, and practice-specific factors.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORE MEDICAL SOLUTIONS SHALL NOT BE LIABLE FOR:

  • INDIRECT,
  • INCIDENTAL,
  • SPECIAL,
  • CONSEQUENTIAL,
  • EXEMPLARY, OR
  • PUNITIVE DAMAGES,


INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

CORE’S TOTAL LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID TO CORE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CORE Medical Solutions and its officers, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of healthcare or privacy laws; or
  • Your misuse of patient information or communications systems.

 

13. Confidentiality

Each party agrees to protect confidential information disclosed in connection with the Services using reasonable safeguards and not disclose such information except as required by law or contractual obligation.

14. Privacy Policy

Your use of the Services is also governed by our Privacy Policy.

  • User rights.


By accessing or using our Services, you acknowledge and consent that CORE Medical Solutions may collect, use, process, and store your information as described in this Privacy Policy. This includes information you provide directly, information generated through your use of the Services, and information collected through automated technologies.

We process and retain this information as necessary to operate, maintain, and improve the Services, fulfill our contractual obligations, ensure security and compliance, and for other legitimate business purposes permitted by applicable law.

15. Termination

CORE may suspend or terminate access to the Services at any time for:

  • Security concerns,
  • Regulatory compliance,
  • Non-payment,
  • Suspected misuse, or
  • Violations of these Terms.

 

Termination does not relieve either party of obligations accrued prior to termination.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the courts located in Yellowstone County, Montana.

17. Changes to Terms

CORE may update these Terms from time to time.

Updated Terms become effective upon posting to the website. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
